| Initial public offering of upto 4,760,000 equity shares of face value of Rs.
10 each ("equity shares") of CL Educate Limited ("CL Educate" or "the
company" or the "issuer") for cash at a price of Rs. 502 per equity share
(the "offer price") aggregating to Rs. 238.95 crores (the "offer"). The
offer comprises a fresh issue of 2,180,119 equity shares by the company
("fresh issue") and an offer for sale of 2,579,881 equity shares by the
selling shareholders, Including 974,000 equity shares by certain of the
promoters and members of the promoter group ("Offer for sale"). The Offer
shall consititute 33.61% of the post offer paid-up equity share capital of
the company.
Face value of the equity shares is Rs. 10 each and the offer price is Rs. 502 per equity share, which is 50.2 times the face value of the equity shares.
