| Issue of 56,21,500 equity shares of Rs. 10/- each at a price of Rs.165/- per equity share for cash aggregating Rs.92.75 Crores (hereinafter referred to as the "issue"), including employee reservation of 1,21,500 equity shares of face value of Rs. 10/- each at a price of Rs.165/- per equity share for cash aggregating Rs.2.00 Crores (hereinafter referred to as the "employee reservation portion"). The issue less the employee reservation portion shall be 55,00,000 equity shares of Rs.10/- each (hereinafter referred to as the "net issue to the public"). The issue will constitute 32.87% of the post issue paid-up capital of our company. The net issue to the public will constitute 32.16% of the fully diluted post issue paid-up capital of Euro Ceramics limited ("company").
